Edition Noir

Terms of Membership and Booking Conditions

EDITION NOIR
Effective: October 9, 2026 · Version 1.1

§ 1 Provider, Scope, Language

1.1 The provider and operator of the platform edition-noir.com, and the Member's contracting party for every booking made through it (hereinafter "Edition Noir", "we" or "us"), is:

GLDS Hospitality Solutions GmbH
Friedrich-Naumann-Str. 43
72762 Reutlingen, Germany
Commercial register: Amtsgericht Stuttgart, HRB 741329
Represented by: Timo Schulze, Managing Director
VAT ID: DE284128956
Email: info@edition-noir.com

1.2 These Terms govern (a) admission to and continuation of membership of Edition Noir and (b) the booking of accommodation from Edition Noir through the platform.

1.3 The platform is available exclusively to natural persons who have reached the age of 18 and whose membership we have activated (§ 3). Use by travel agencies, tour operators or other commercial resellers is prohibited without our express prior written consent.

1.4 Deviating, conflicting or supplementary terms of the Member do not form part of the contract unless we expressly consent to their application in text form.

1.5 The contract and communication language is English.

§ 2 The Role of Edition Noir · Your Contracting Party

2.1 Edition Noir offers individual accommodation services at hotels, resorts, villas and comparable establishments (each a "Supplier").

2.2 Edition Noir does not act as a tour operator and does not assemble package travel arrangements within the meaning of § 651a of the German Civil Code (BGB). Two or more travel services are not combined into a single arrangement, jointly marketed, or offered at an inclusive price.

2.3 The accommodation contract is concluded between the Member and Edition Noir. Edition Noir offers and sells the accommodation to the Member in its own name and for its own account and procures it from the respective Supplier. The Supplier provides the accommodation on site on our behalf; no contract between the Member and the Supplier arises from the booking.

2.4 The Supplier's conditions that apply to the stay — in particular check-in and check-out times, house rules, deposit and age requirements — form part of the contract to the extent we display them before the booking is concluded. They are shown during the booking process and in the booking confirmation.

2.5 Edition Noir owes the Member the provision of the booked accommodation in accordance with the booking confirmation, together with support before and during the stay. The Member may plan their arrival and stay with our Concierge Desk or directly with the Supplier.

2.6 Services not owed. Unless expressly confirmed in the booking confirmation, we do not owe in particular: allocation of a specific room, location or view; upgrades, special requests and amenities granted by the Supplier subject to availability only; verification of the Member's individual passport, visa, customs and health requirements (§ 5.7); advice on insurance, taxation or currency regulations; or any assurance regarding construction works, weather, local events or other circumstances outside the booked accommodation.

2.7 Additional services. Services extending beyond the accommodation itself — such as transfers, activities, restaurant reservations or on-site services — do not form part of the booked accommodation service. They are neither offered together with it nor invoiced at an inclusive price. Where a Member requests such a service, it is enquired about separately in the individual case, contracted separately, and invoiced separately and directly by the respective service provider. There is no entitlement to the arrangement of additional services.

§ 3 Membership · Admission

3.1 Membership of Edition Noir is free of charge. There is no entitlement to admission.

3.2 Membership is requested by registering on edition-noir.com: creating a personal account and completing the membership form. An invitation, personal reference or reference code is not required. Members may in addition receive a personal Access Card bearing a reference code.

3.3 We may request supplementary information and appropriate proof of identity and creditworthiness, in particular before a booking, and may make admission or the continuation of access dependent on it.

3.4 Membership is established once we activate access and confirm this in text form. We may decline a registration; a rejection requires no statement of reasons.

3.5 Membership is personal and non-transferable. Access credentials, reference codes and the Access Card may not be passed on, sold or made available for use by third parties. Bookings for the benefit of the Member's travelling companions and family members are permitted; the Member remains the contracting party and is responsible for compliance with these Terms by all travellers.

3.6 The Member shall update any changes to contact, payment and identification details without undue delay.

3.7 Loss or theft of the Access Card or of access credentials must be reported without undue delay. We will block access and issue a new reference code.

§ 4 Confidentiality and Discretion

4.1 Edition Noir maintains confidentiality towards third parties regarding the identity of its Members and their bookings and stays, unless disclosure is required by law or by a public authority. Disclosure to Suppliers takes place only to the extent necessary to carry out the booking.

4.2 The Member undertakes to treat the following as confidential and not to make it publicly accessible: individually negotiated rates and conditions; properties and availability not publicly advertised; reference codes and access credentials; content of the members' area; and the identity and whereabouts of other Members.

4.3 This does not extend to information that is generally known, that was demonstrably already known to the Member without an obligation of confidentiality, or whose disclosure is required by law. The assertion of rights before authorities, courts, legal advisers and insurers remains unaffected.

4.4 The obligation under 4.2 applies for the duration of the membership and for three years thereafter.

§ 5 Booking Process and Conclusion of Contract

5.1 The presentation of properties and rates on the platform is not a binding offer but an invitation to submit a booking request.

5.2 By submitting the booking request via the "Confirm booking now" button, the Member makes a binding offer to Edition Noir to conclude the accommodation contract.

5.3 Receipt of the request is confirmed electronically without undue delay. This acknowledgement of receipt does not yet constitute acceptance.

5.4 The contract with Edition Noir is concluded upon receipt of our booking confirmation in text form. Only then does an entitlement to the service arise. We issue the booking confirmation once the Supplier has confirmed the accommodation to us.

5.5 Obvious errors — in particular manifest rate, currency, display and transmission errors — do not bind us. Our statutory right to contest the contract (§§ 119 et seq. BGB) remains unaffected; any amount already paid is refunded in full without undue delay.

5.6 The Member shall check the booking confirmation for accuracy and completeness without undue delay, in particular names (identical to the travel document), dates, property and room category. Discrepancies must be reported to us without undue delay.

5.7 The Member is responsible for compliance with passport, visa, customs, currency and health requirements. We provide information on the general requirements applicable to nationals of the country in which the journey commences; individual circumstances must be clarified by the Member.

§ 6 Prices and Payment

6.1 All prices are stated in the currency indicated and include statutory value added tax unless stated otherwise. Charges payable on site (e.g. tourist tax, city tax, resort fee, service charge) are shown separately to the extent known to us.

6.2 Payment terms — in particular deposit, balance and due dates — follow from the respective rate offer and the booking confirmation. Payment is owed to Edition Noir.

6.3 By confirming a booking paid by card, the Member authorises us to charge the card for the amounts due under 6.2. The card may be authorised when the booking is made and charged at a later point; the actual processing date depends on bank and payment-provider cycles beyond our control. All card transactions are processed through our integrated, PCI-DSS-compliant payment providers.

6.4 Permitted means of payment: credit and debit card via the payment provider integrated in the platform, and, where stated in the booking confirmation, bank transfer. Payments must be made exclusively via the payment methods offered on the platform or to the bank account stated in the booking confirmation. Payments to third parties, to differing accounts or outside the platform do not discharge the payment obligation.

6.5 In the event of default in payment, we are entitled to cancel the booking after setting a reasonable deadline and to claim the agreed cancellation charges.

6.6 Bookings in foreign currency may attract conversion and foreign transaction fees charged by the Member's payment service provider; these are borne by the Member.

6.7 The Member may exercise a right of retention only in respect of claims arising from the same contractual relationship. Set-off is permitted only against claims that are undisputed or have been finally determined by a court.

§ 7 No Right of Withdrawal

7.1 For contracts concerning the provision of services in connection with accommodation for purposes other than residential purposes, as well as the carriage of goods, motor vehicle rental, the supply of food and beverages, and leisure activities, there is no statutory right of withdrawal where the contract provides for a specific date or period of performance (§ 312g(2) no. 9 BGB).

7.2 As Edition Noir offers exclusively date-specific accommodation services, no right of withdrawal applies to these bookings. The cancellation terms under § 8 apply exclusively.

7.3 Where membership itself is subject to a fee, the statutory right of withdrawal applies to it; the withdrawal instructions are provided separately.

§ 8 Cancellation, Amendment, No-Show

8.1 Every booking is subject to the cancellation terms displayed at the time of booking and documented in the booking confirmation for the respective rate. They form part of the contract.

8.2 Cancellations, amendments and name changes must be declared exclusively via the platform or via the Edition Noir contact channels stated in the booking confirmation. Declarations made to the Supplier, to travel agencies or to any other third party have no effect vis-à-vis us and give rise to no entitlement to a refund.

8.3 The decisive point for observing a deadline is our receipt of the cancellation declaration, measured in the time zone stated in the booking confirmation.

8.4 Non-refundable rates ("non-refundable", "advance purchase" or similar) are payable in full from the moment the booking is concluded. This is clearly indicated before conclusion.

8.5 In the event of a no-show or early departure there is no entitlement to a refund, unless the cancellation terms of the booked rate provide otherwise.

8.6 Requests to amend a booking do not constitute a cancellation but confer no entitlement to implementation. They are possible only in accordance with the conditions of the booked rate and to the extent the Supplier agrees, and may be subject to a fee.

8.7 Refunds are issued exclusively via the original payment method and exclusively through Edition Noir. Cash payments, payments to third parties or to differing accounts are not made.

8.8 We strongly recommend taking out travel cancellation and curtailment insurance as well as international travel health insurance.

8.9 The Member's statutory rights — in particular rights of withdrawal, termination and warranty in the event of defective performance, and mandatory consumer rights — remain unaffected by the foregoing.

§ 9 Refunds · Unjustified Chargebacks

9.1 All reversals of payment are processed exclusively through Edition Noir in accordance with § 8.7. Arrangements concerning refunds or reductions made directly with the Supplier or with third parties outside the platform have no effect vis-à-vis us.

9.2 The Member undertakes not to initiate any chargeback, payment recall or payment block (in particular card chargebacks, SEPA direct debit returns or card disputes) for as long as and to the extent that the underlying claim is justified under these Terms and has not been cancelled or refunded by us.

9.3 Where the Member disputes a payment, they shall first contact Edition Noir. We review every dispute and respond within 5 business days. The Member's statutory and payment-services rights vis-à-vis their own payment service provider remain unaffected and are not restricted by 9.2.

9.4 If the Member initiates a chargeback although the claim is justified, the Member is in default in respect of the reversed amount without further reminder. The Member shall reimburse us for the fees charged for this by payment service providers and banks, to the extent the Member is responsible for the chargeback.

9.5 An unjustified chargeback, as well as circumvention of the platform in respect of payment or refund, constitutes a material breach of duty and entitles us to block access and to terminate the membership for cause pursuant to § 11.

9.6 Where there are concrete indications that a payment dispute has been raised with intent to cause loss or on the basis of misrepresented facts, we reserve the right to assert all civil law claims and to examine and initiate criminal proceedings.

§ 10 Member Obligations

10.1 The Member shall provide truthful and complete information when applying and when booking.

10.2 The Member shall not use the platform to exploit availability or rates for commercial resale or onward brokerage, for price comparison services, or for automated querying (scraping, bots).

10.3 The Member shall observe the house rules and codes of conduct of the Suppliers. The Member is directly liable to the Supplier for any damage caused on site by the Member or their travelling companions.

10.4 Repeated bookings made without the intention to travel, abusive multiple bookings, and conduct that materially damages the reputation of Edition Noir or of its Suppliers constitute a breach of duty.

§ 11 Term · Termination · Exclusion

11.1 Membership runs for an indefinite period unless a fixed term has been expressly agreed.

11.2 The Member may terminate the membership at any time in text form on 14 days' notice. Bookings already confirmed remain unaffected and are settled in accordance with the agreed terms.

11.3 We may terminate the membership by ordinary notice in text form on three months' notice.

11.4 The right of either party to terminate for cause remains unaffected. Cause exists for us in particular in the event of:

a) an unjustified chargeback, or default in payment despite a deadline having been set (§ 9);
b) circumvention of the platform in respect of payment, cancellation or refund (§ 6.4, § 8.2, § 9.1);
c) transfer of the Access Card, reference code or access credentials to third parties (§ 3.5);
d) a material breach of the confidentiality obligations (§ 4);
e) untrue statements in the admission process;
f) commercial resale or automated querying (§ 10.2);
g) material misconduct towards our staff, Suppliers or other Members.

11.5 Termination for cause is preceded by a written warning unless such warning is dispensable under § 314(2) BGB. Where payment abuse is suspected, we are entitled to suspend access provisionally for the duration of our review.

11.6 Upon termination of the membership, access rights and the reference code expire and the Access Card ceases to be valid. Re-admission following termination for cause is excluded unless we expressly consent.

11.7 Bookings already confirmed will be settled in accordance with the agreed terms even after termination of the membership, to the extent this is reasonable for us.

§ 12 Liability

12.1 We are liable without limitation for damage arising from injury to life, body or health, in cases of intent and gross negligence, in the event of fraudulent concealment of a defect, under any guarantee assumed by us, and under the German Product Liability Act.

12.2 In the event of a slightly negligent breach of a material contractual obligation (an obligation whose fulfilment is essential to the proper performance of the contract and on whose observance the Member may regularly rely), our liability is limited to the foreseeable damage typical for this type of contract at the time the contract was concluded.

12.3 Liability is otherwise excluded.

12.4 As the Member's contracting party, we are responsible for providing the booked accommodation (§ 2.5); the Supplier acts as our performing party. In the event of defective performance, the Member's statutory rights are directed against us, subject to the limitations in 12.1 to 12.3. We pursue the remedy with the Supplier on the Member's behalf.

12.5 We give no warranty for information, images and descriptive material, facilities, reviews and availability data supplied to us by Suppliers or third-party systems, unless their inaccuracy was known to us or remained unknown to us as a result of gross negligence.

12.6 We do not owe uninterrupted availability of the platform. We are not liable for outages, interruptions or data transmission errors outside our sphere of responsibility.

12.7 We are not liable for events of force majeure or for unavoidable, extraordinary circumstances for which we are not responsible. The Member's statutory rights of withdrawal and termination remain unaffected.

12.8 The Member is obliged to report any discernible defect in performance without undue delay, on site to the Supplier and to us, and to give us the opportunity to remedy it. Where such notification is culpably omitted, claims are reduced to the extent that a remedy would have been possible (§ 254 BGB).

12.9 Claims of the Member against us become time-barred one year from the statutory commencement of the limitation period. Excluded from this and subject to the statutory limitation period are claims for injury to life, body or health, claims based on intent and gross negligence, claims arising from fraudulent concealment or from a guarantee, and claims under the German Product Liability Act.

12.10 The foregoing limitations also apply in favour of our legal representatives, employees and vicarious agents.

§ 13 Data Protection

Personal data is processed in accordance with our Privacy Policy, available at edition-noir.com/privacy. It sets out the purposes, legal bases, recipients, retention periods, transfers to Suppliers outside the EU/EEA, and the rights of data subjects.

§ 14 Amendments to These Terms

14.1 We may amend these Terms with effect for the future where there is a valid reason to do so — in particular a change in the legal position, in case law of the highest courts, in technical conditions or in the range of services offered — and provided the Member is not thereby unreasonably disadvantaged.

14.2 Amendments are notified to the Member in text form at least six weeks before they take effect. If the Member does not object before the amendment takes effect, it is deemed accepted; this consequence is pointed out separately in the notification. In the event of an objection, either party may terminate with effect from the date the amendment takes effect.

14.3 Bookings already confirmed remain subject at all times to the terms agreed at the time of booking.

§ 15 Dispute Resolution

15.1 We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration body (§ 36 of the German Act on Alternative Dispute Resolution in Consumer Matters, VSBG).

§ 16 Final Provisions

16.1 The law of the Federal Republic of Germany applies, to the exclusion of the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer protection provisions of the state in which the Member has their habitual residence remain unaffected.

16.2 Where the Member is a merchant, a legal entity under public law or a special fund under public law, or has no general place of jurisdiction in Germany, the exclusive place of jurisdiction is Reutlingen, Germany. For consumers, the statutory places of jurisdiction apply.

16.3 Amendments and supplements must be made in text form. This also applies to any waiver of this form requirement.

16.4 Should any provision of these Terms be or become invalid, the validity of the remaining provisions is unaffected. The invalid provision is replaced by the applicable statutory provision.
